This Policy outlines the acceptable customer use of CleryEdge software (“Service”). These rules are in place to protect customers and NACCOP-AEGIS, LLC (“Provider”) against loss or theft, unauthorized access, disclosure, copying, modification or destruction, and cyber security incidents. All customers are responsible for exercising good judgment regarding appropriate use of the Service in accordance with the Provider’s policies and standards and local laws and regulations. Customers are responsible for any breach of this Policy by their account users and any access or use of the Service by persons other than their account users.

Permissible Actions

Customer/Account Users shall:

  • use commercially-reasonable efforts to comply with all of Terms of Service;
    ensure that all Account Users comply with all of the terms and conditions of this Agreement, including the limitations and restrictions set out in this Policy;
    be responsible for the input of content into the Service and be responsible for keeping said content current and accurate; and
    take appropriate action to ensure that non-account users do not access or use the Service; and
  • access and use the Service solely in compliance with its documentation and all applicable local, state, federal, and foreign laws, rules, directives and regulations (including those relating to export, homeland security, anti-terrorism, data protection and privacy); and
  • fully cooperate with law enforcement authorities in the detection and prosecution of illegal activity related to unauthorized use of the Service; and
    be responsible for protecting credentials and for any authorized and unauthorized use made of the passwords; and
  • only use the Service in the ordinary course of business, in connection with, and as part of, the Service; and
  • allow e-mail notifications generated by the Service on behalf of Customer’s Account Users to be delivered to Customer’s Account Users.
Forbidden Actions

The Customer/Account User must not:

  • intentionally or knowingly, use the Service to post, transmit, distribute, store or destroy any information: (i) in violation of any applicable law, statute, ordinance or regulation; (ii) in a manner that shall infringe the intellectual property rights of others; (iii) that is defamatory or trade libelous, or (iv) that contains any Computer Viruses; and
  • modify, alter, revise, decompile, disassemble, reverse engineer, create derivative works or attempt to derive the source code or other trade secrets from any of the software comprising or in any way making up a part of the Service; and
    attempt to gain unauthorized access to the Service, other customer accounts, computer systems, or networks connected to the Service; and
  • remove, obscure, cover, or alter Provider’s copyright, trademark, patent, or proprietary notice affixed or displayed by or in the Service or related documentation; and
  • use the Service in a way not intended by Provider or for any illegal, obscene, offensive, or immoral purpose; and
  • use the Service to promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; and
  • assign, transfer, lease, rent, resell for profit, loan, sublicense, network or modify, distribute or otherwise make available the Service, in whole or in part, to any third party, including on a timesharing, software-as-a-service or other similar basis, except as otherwise authorized by Provider. However, customer user may reproduce and distribute any Service output (e.g., reports) generated by customer using the Service; and
  • share account login information or otherwise allow access or use the Service to provide any service bureau services or any services on a similar basis; and
  • copy, frame, or mirror any part or content of the Service, other than copying or framing on Customer’s own intranets or otherwise for customer’s own internal business purposes; and
  • attempt to tamper with, alter, disable, hinder, by-pass, override, or circumvent any security, reliability, integrity, accounting or other mechanism, restriction, or requirement of the Service; and
  • perform load tests, network scans, penetration tests, ethical hacks or any other security auditing procedures on the Service; and
  • interfere with or disrupt the integrity or performance of the Service or the data contained therein; and
  • access the Service in order to build a competitive product or service, copy any features, functions or graphics of the Service or monitor the availability and/or functionality of the Service for any benchmarking or competitive purposes; and
    store, manipulate, analyze, reformat, print, and display the content for personal use or to provide such to any third party; and
  • upload or insert code, scripts, batch files, or any other form of scripting or coding into the Service; and
  • directly or indirectly copy or reproduce all or any part of the Service, whether electronically, mechanically or otherwise, in any form including, but not limited to, the copying of presentation, style or organization, without prior written permission from Provider.
Suspension and Termination

The Provider monitors and determines any breach of this acceptable use Policy. When a violation of this Policy has occurred, we may take such action as we deem appropriate.

Failure to comply with the Policy may result in all or any of (including but not limited to) the following actions:

  • Immediate, temporary, or permanent withdrawal of your right to use the Service, and
  • Immediate, temporary, or permanent removal of any posting or material uploaded to the Service; and
  • Issue of a warning; and
  • Legal proceedings for reimbursement of all costs on an indemnity basis (including, but not limited to, reasonable administrative and legal costs) resulting from the breach; and
  • Disclosure of such information to law enforcement authorities, if necessary.
Changes to Policy

The Provider may revise this Policy by amending this page. Please check this page from time to time to note any changes we make, as they are legal bindings. Some of the provisions in this Policy may also be superseded by conditions or notices published in other Provider policies.
