1. Introduction
These Terms of Service (“ToS”) govern the use of the CleryEdge platform by authorized users (“you,” “your”) affiliated with a subscribing institution (“Customer”). The platform is provided by NACCOP-AEGIS, LLC (“Provider,” “we,” “us”).
By accessing and using CleryEdge, you agree to comply with these Terms of Service as applicable to authorized users.
2. Scope and Relationship to Customer Agreement
These Terms of Service apply to individual users granted access to CleryEdge through their affiliated institution’s subscription.
Your institution’s use of CleryEdge is governed by a separate Subscription Agreement between the institution and NACCOP-AEGIS, LLC. These Terms are incorporated by reference into that agreement.
In the event of a conflict between these Terms of Service and the Subscription Agreement, the Subscription Agreement shall control.
3. Account Access and Responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must not share your password or access with others.
You agree to:
- Use your access solely for your institution’s internal compliance and reporting purposes;
- Immediately notify your institution’s CleryEdge administrator or our support team of any unauthorized access or suspicious activity.
4. Acceptable Use
You must comply with our Acceptable Use Policy (“AUP”) at all times. Prohibited behaviors include but are not limited to:
- Attempting to bypass system controls or access unauthorized data
- Uploading malware or engaging in disruptive or abusive behavior
- Violating any applicable law or regulation
5. Data and Privacy
All information collected or processed by CleryEdge is subject to our Privacy Policy. This includes user activity logs, account data, and any content entered into the platform. Your use of CleryEdge constitutes acceptance of this policy.
6. Service Availability and Maintenance
We aim to provide reliable access to CleryEdge and maintain system availability as defined in our Service Level Agreement (“SLA”). System performance may be affected by scheduled maintenance or external factors outside our control. You are responsible for following recommended best practices to ensure successful system use.
7. Termination of Access
Your access to CleryEdge may be suspended or revoked at any time by your institution or by the Provider if:
- Your employment or affiliation with the subscribing institution ends;
- You violate these Terms, the AUP, or applicable laws;
- The institution’s subscription is suspended or terminated.
Suspension or revocation of individual user access does not affect the institution’s contractual rights or obligations under the Subscription Agreement.
8. Intellectual Property
CleryEdge and all associated content, documentation, and features are owned by NACCOP-AEGIS, LLC. You may use the platform only as permitted in connection with your institutional responsibilities. No license or ownership rights are granted to you beyond your authorized use.
9. Disclaimers
CleryEdge is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose. Any legal rights or remedies available to your institution are set forth in its Subscription Agreement. Nothing in these Terms grants individual users any rights independent of the subscribing institution.
10. Changes to These Terms
Provider may update these Terms of Service from time to time to reflect changes to the Service or applicable requirements. Updates will be communicated to the subscribing institution and implemented in accordance with the Subscription Agreement.
Continued access by individual users is subject to the institution’s acceptance of such changes under the Subscription Agreement. These Terms do not create independent contractual rights for individual users.
